Terms of Service

1. Agreement

By creating an account or using VolkCell ("the Service") you agree to these Terms of Service ("Terms"). The Service is operated by VOLKCELL TECHNOLOGIES LTD, a company registered in Scotland, company number SC895619, registered office 5 South Charlotte Street, Edinburgh, United Kingdom, EH2 4AN ("VolkCell", "we", "us"). If you do not agree to these Terms, do not use the Service.

2. The Service

VolkCell is a cloud-based platform for automated microscopy image analysis, including cell counting, segmentation and confluency measurement. It is a research tool and is not intended for clinical diagnosis. We also offer VolkCell Bench, a hardware image cytometer, under separate purchase terms provided at the time of sale.

3. Accounts

  • You must provide accurate information when creating an account.
  • You are responsible for keeping your account credentials secure and must not share them.
  • One person or organisation may not hold multiple free accounts.
  • Academic pricing requires a verified institutional email address (.ac.uk, .edu or another approved academic domain).

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Circumvent usage limits or try to access other users' data.
  • Reverse-engineer, decompile or extract the source code of our models or software.
  • Interfere with or disrupt the Service or its infrastructure.
  • Upload content that infringes anyone else's intellectual property rights.
  • Use automated tools to scrape or bulk-download data from the Service.

5. Your data

You keep ownership of all images and data you upload, and of your results. We claim no intellectual property rights over your content and process it only to provide the Service, as described in our Privacy Policy.

6. Payments and subscriptions

  • Paid plans are billed monthly through our payment processor. Prices are in GBP; applicable taxes are shown at checkout.
  • You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period.
  • Token packs do not expire and are non-refundable once used. Refunds otherwise follow our Refund Policy (app.volkcell.com/refund-policy).
  • We may change prices with 30 days' notice.

7. Free use

Free use, with or without an account, is limited. The current limits are shown in the app and may change. Free accounts inactive for more than 12 months may be deactivated.

8. Service availability

We aim to keep VolkCell available at all times but do not guarantee uninterrupted access. We may perform maintenance with reasonable notice, and are not liable for downtime caused by factors outside our control.

9. Intellectual property

The VolkCell software, models, documentation and website content are owned by VolkCell Technologies Ltd and protected by copyright and other intellectual property laws. Your use of the Service gives you a non-exclusive, non-transferable licence to use it for its intended purpose.

10. Limitation of liability

Analysis results are provided "as is" and should be checked by qualified personnel before use in any clinical, diagnostic or safety-critical setting. To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential losses arising from your use of the Service, and our total liability is limited to the amount you paid us in the 12 months before the claim.

11. Termination

We may suspend or terminate your account if you breach these Terms. You may close your account at any time by contacting us; we delete your data within 30 days of your request, as described in our Privacy Policy.

12. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.

13. Changes to these Terms

We may update these Terms. Material changes will be announced by email or on our website at least 30 days before they take effect; continuing to use the Service after that means you accept them.
